Capital Cities/ABC Inc.: history and significance

Overview of Capital Cities/ABC Inc., formed after the 1985 merger with ABC, its operations and holdings, corporate development, and its 1996 sale to The Walt Disney Company.

Capital Cities/ABC Inc. was a prominent American media company created when the smaller Capital Cities Communications merged with the American Broadcasting Company in 1985. The combined enterprise operated under the Capital Cities/ABC name for roughly a decade and became known for integrating a major national broadcast network with a diverse collection of local broadcast stations, cable properties and production units. In 1996 the company was acquired by The Walt Disney Company, after which the television assets were reorganized as the Disney–ABC Television Group.

Background and 1985 merger

Before the merger, Capital Cities had grown through acquisitions of local radio and television stations and narrowcast businesses. In 1985 it completed a notable acquisition of the much larger American Broadcasting Company in a transaction often described as a reverse takeover. The deal drew attention because Capital Cities, by market capitalization and profile, had been the smaller partner yet assumed leadership of a national broadcast network. The merged firm combined corporate management practices from Capital Cities with the programming and distribution strengths of ABC.

Operations and assets

Capital Cities/ABC became a diversified media owner. Its holdings typically included:

  • the national ABC television network and related news and entertainment divisions;
  • a portfolio of local television and radio stations across the United States;
  • cable channel interests and syndicated-program production units;
  • advertising sales and distribution infrastructure serving both national and local advertisers.

The company emphasized efficient corporate management and profitability while maintaining the programming and affiliate relationships central to a major broadcast network.

Sale to The Walt Disney Company and legacy

In 1996 Capital Cities/ABC was purchased by The Walt Disney Company. That acquisition folded ABC and many of Capital Cities' assets into Disney's broader entertainment and media operations, creating new opportunities for cross-platform distribution and branded content. The transaction reflected larger 1990s trends toward consolidation in the media industry, where studios, networks and cable operators sought scale to compete in national advertising and emerging multichannel markets.

Today the name Capital Cities/ABC is chiefly of historical interest. Its formation and eventual absorption illustrate a period of consolidation and corporate restructuring in American broadcasting, and the deal is often cited in discussions of reverse mergers, media ownership, and the development of integrated entertainment conglomerates.
